By a vote conducted by way of show of hands, McGovern Hurley LLP, Chartered Professional Accountants, were appointed as auditors of the Corporation to hold office until the close of business of the next annual meeting of shareholders or until a successor is appointed and the board of directors of the Corporation was authorized to fix their remuneration (the "Auditor Resolution").
