Shelfie-Tech Announces Private Placement
TORONTO, ON / ACCESS Newswire / October 5, 2026 / Shelfie-Tech Ltd. (CSE:SHLF)(OTCQB:SHLFF) ("Shelfie" or the "Company") announces its intention to close on or around October 9, 2026 its previously announced (see the Company's press release of June 10, 2026) non-brokered private placement (the "Private Placement"). The Private Placement is now expected to consist of an offering of up to 1,179,775 common shares of the Company ("Shares") at a price of CAD$1.78 per Share to raise gross proceeds of up to approximately CAD$2,100,000.
The proceeds from the Private Placement will be used to complete the acquisition of Aspect Information Systems Ltd. (see the Company's press release of May 4, 2026) general working capital and corporate purposes.
The securities issued will be subject to a four-month and one day hold period.
The Company will pay a cash finders', and will issue Shares to eligible finders in accordance with applicable securities laws and the policies of the Canadian Securities Exchange.
The securities to be issued pursuant to the Private Placement have not, nor will they be registered under the United States Securities Act of 1933, as amended, and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons in the absence of U.S. registration or an applicable exemption from the U.S. registration requirements.
