(TSXV:GPUS)(OTC:GPUSF)(FSE:1R60, WKN:A40M0J) ("Alset AI" or the "Company"),an artificial intelligence ("AI") venture company advancing innovation through strategic investment and cloud computing solutions, is pleased to announce that it has closed its previously-announced non-brokered private placement offering of 12,727,272 units of the Company (each, a "Unit") at an issue price of $0.055 per Unit for aggregate gross proceeds to the Company of approximately $700,000 (the "Offering").
Each Unit issued under the Offering consists of one common share in the capital of the Company (each, a "Common Share") and one-half of one Common Share purchase warrant (each whole Common Share purchase warrant, a "Warrant"). Each whole Warrant entitles the holder thereof to acquire one Common Share (each, a "Warrant Share") at an exercise price of C$0.10 per Warrant Share until December 23, 2027.
As previously disclosed, the net proceeds from the Offering are intended to be used to accelerate the commercialization of the Company's cloud compute business, including funding customer acquisition through sales and marketing activities and advancing near-term revenue milestones, and for working capital and general corporate purposes.

The Offering remains subject to the final approval of the TSX Venture Exchange (the "TSXV").
