PodcastOne (NASDAQ:PODC) Board of Directors Forms Special Committee and Intends to Retain Financial Advisor Following Inbound Strategic Interest
Board believes the Company's current valuation does not reflect its market position, scale and data assets
LOS ANGELES, CA / ACCESS Newswire / October 28, 2026 / PodcastOne (NASDAQ:PODC), a leading publisher and podcast sales network, today announced that it has received inbound interest from multiple strategic parties regarding a potential acquisition of the Company and is in discussions with each of them. In response, PodcastOne's Board of Directors (the "Board") has formed a special committee of independent directors to oversee the process and intends to retain an investment banker to assist the committee in evaluating these and other alternatives to maximize shareholders value.
The Board believes the Company's current stock price does not reflect the value of its business. PodcastOne recently ranked as the #6 U.S. podcast publisher according to Podtrac, with more than 1 billion monthly impressions, and a diversified base of advertising and data-driven revenue. In the Board's view, the market has not fully recognized the value of PodcastOne's scale, audience reach and proprietary data, including what they may be worth to a strategic owner.
Key Assets
- Scale: Recently ranked as #6 U.S. podcast publisher (Podtrac); more than 12 years of independent operation
- Creators: 200+ podcasters and more than 1 billion monthly impressions
- Data: 750,000 hours of content for LLM, SLM, RAG and AI training and data licensing opportunities
- AI monetization: Conversational search, AI agents, APIs, SaaS and semantic discovery
- TV & Film: Creator-driven IP, streaming and second-window opportunities
- Financial Base: $61.7 million in fiscal 2026 revenue
"The level of strategic interest we are seeing supports the Board's long-held view that the market has not valued our platform for what it has achieved. We intend to run a rigorous, competitive process on behalf of all shareholders", stated Robert Ellin, Executive Chairman of PodcastOne.
The special committee of the Board will oversee the process, and PodcastOne expects to select a financial advisor in the near term. PodcastOne will continue its discussions with interested parties while the process is structured and will evaluate all proposals with a view to maximizing shareholders value. There can be no assurance that this process will result in a transaction, and the Company does not intend to comment further unless and until it determines disclosure is appropriate or required.
