University Bancorp, Inc. Issues $25 Million of Subordinated Notes
ANN ARBOR, MI / ACCESS Newswire / September 29, 2026 / University Bancorp, Inc. (OTCQB:UNIB) (the "Company") today announced the closing of a $25 million private placement of Fixed-to-Floating Rate Subordinated Notes (the "Notes") due 2036. The Company plans to use the net proceeds for general corporate purposes including, without limitation, to increase the common equity of its wholly owned banking subsidiaries and to redeem other outstanding senior or subordinated notes.
The Notes have a maturity date of October 30, 2036, and carry a fixed rate of interest of 8.125% for the first five years. Thereafter, the notes will pay interest at a floating rate, reset quarterly, equal to the then current three-month Secured Overnight Financing Rate ("SOFR") plus 355 basis points. The Notes may be redeemed at the option of the Company, without penalty, in whole or in part, beginning on October 30, 2031, and on any interest payment date thereafter, or earlier upon certain specified events.
The Company has also entered into a $25 million 5-year forward interest rate swap agreement at 4.70% which effectively fixes the interest rate for the second five years of the term at 8.25%.
Piper Sandler & Co. served as sole placement agent for the offering and was represented by Hunton Andrews Kurth LLP. Varnum LLP served as legal counsel to the Company.
