BOI Reporting Resumes: Leading eFile Provider, Tax1099 Simplifies Compliance with Secure, Automated BOI Reporting Solutions
Tax1099 Helps Businesses Meet New BOI Filing Deadline Under Corporate Transparency Act
FAYETTEVILLE, AR / ACCESS Newswire / February 25, 2025 / The U.S. Department of the Treasury, through FinCEN, has reinstated the Beneficial Ownership Information Reporting (BOIR) requirements under the Corporate Transparency Act (CTA). As a result, reporting companies are once again required to comply with these obligations. Recognizing that businesses may need additional time to meet their BOI reporting requirements, the Financial Crimes Enforcement Network (FinCEN) has extended the deadline by 30 calendar days. The new BOIR filing deadline is March 21, 2025, giving businesses extra time to comply with the reporting obligations designed to enhance transparency and prevent financial crimes. As a leading IRS-authorized eFile provider, Tax1099 offers a secure, automated, and efficient platform to help businesses comply with FinCEN's BOI reporting requirements.
FinCEN's Latest BOI Reporting Update
The Corporate Transparency Act requires certain U.S. companies to disclose their beneficial owner's information to FinCEN to improve financial transparency and combat financial crimes. After a brief suspension, FinCEN's announcement reaffirms the reporting obligations for affected entities.
Here are the Key Takeaways from FinCEN's Feb 2025 Announcement:
New BOI Reporting Deadline:
The deadline for most reporting companies to file initial, updated, and/or corrected BOI reports is now March 21, 2025.
Companies affected by this extension are given 30 additional days from the original February 19, 2025, deadline to comply.
Potential Further Modifications:
During this 30-day period, FinCEN will assess whether additional modifications to the deadline are necessary, with an emphasis on prioritizing filings from entities that present significant national security risks.
Extended Deadlines for Disaster Relief:
Companies that qualified for certain disaster relief extensions will maintain their original reporting deadlines, even if these deadlines are later than March 21, 2025. For instance, if a company was granted an April 2025 deadline, it would continue to follow that date, not the March deadline.
Exemption for Certain Entities:
As outlined in National Small Business United v. Yellen, plaintiffs associated with Isaac Winkles, the National Small Business Association, and its members (as of March 1, 2024) are not required to report their beneficial ownership information to FinCEN at this time.
