MONTEREY PARK, CA / ACCESS Newswire / August 26, 2026 / Maison Solutions Inc. (NASDAQ:MSS) ("Maison Solutions" or the "Company"), a U.S.-based specialty grocery retailer and emerging platform for technology-enabled business initiatives, today announced that all outstanding obligations under its convertible notes have been paid, satisfied or otherwise discharged, as applicable. Following the completion, no convertible notes remain outstanding.
The milestone concludes a significant component of the Company's legacy financing structure and brings to an end the conversion-related dilution associated with these instruments. Management believes the completion provides greater clarity around the Company's capitalization, reduces an important source of conversion-related market overhang and improves its flexibility as it evaluates future strategic, operational and financing opportunities.
In prior periods, the Company's financing alternatives were constrained by a combination of market conditions, liquidity requirements and other circumstances, which led Maison Solutions to use convertible debt financing that carried a comparatively high cost of capital and resulted in dilution and market overhang for its shareholders. Management recognizes that these structures placed additional pressure on the Company's capital markets profile.

The elimination of the convertible notes forms part of a broader effort by the Company to improve its financial and operating profile. Maison Solutions has been taking steps to streamline its business portfolio, reduce exposure to underperforming operations, strengthen its balance sheet and evaluate opportunities that management believes can support the Company's long-term development.
With this legacy financing issue now resolved, management intends to focus its resources on operating performance, capital discipline and the execution of strategic initiatives designed to build a stronger and more sustainable foundation for the Company.
